Mergers and particular related tax problems

Abstract:

Goal of the diploma thesis „Mergers and related tax problems“ is to analyze mergers and their tax aspects and to propose an optimal tax solution for the mergers. The first part describes the mergers according to academic literature and legislative adjustment and discusses valuation methods used for the share capital valuation of the merging companies. The main part deals with tax issues, with emphasis on different types of taxes. These theoretical findings are applied on a real case of merging companies operating in the energy industry. Finally, tax consequences of this merger are assessed and suggestion that leads to the tax liability minimization is proposed.

Abstract:

Cieľom diplomovej práce „Fúze a vybrané související daňové otázky“ je analyzovať fúzie a ich daňové aspekty a navrhnúť daňovo optimálne riešenie pre fúzie. Prvá časť popisuje fúzie podľa odbornej literatúry a legislatívnej úpravy a rozoberá oceňovacie metódy, ktoré sa používajú pre ocenenie imania fúzujúcich spoločností. Hlavná časť práce sa zaoberá daňovou problematikou s dôrazom na rôzne typy daní. Tieto teoretické poznatky sú aplikované na skutočnom prípade fúzujúcich spoločností pôsobiacich v energetickom priemysle. Na záver sú zhodnotené daňové dôsledky tejto fúzie a je navrhnuté také riešenie pre fúzujúce spoločnosti, ktoré vedie k minimalizácii daňovej povinnosti.
