Duty of Care, Duty of Loyalty and the Liability of Company Officers

Abstract:

Tématem diplomové práce je povinnost péče řádného hospodáře a odpovědnost člena orgánu obchodní korporace. V prvních dvou kapitolách se věnuji podrobnému rozboru pojmů péče řádného hospodáře a pravidla podnikatelského úsudku. Ve třetí kapitole se zabývám důsledky porušení pravidla péče řádného hospodáře s důrazem na soukromoprávní odpovědnost. Cílem práce je popsat péči řádného hospodáře a pravidlo podnikatelského úsudku po rekodifikaci soukromého práva a také rozebrat následky spojené s porušením této péče ze strany orgánu obchodní korporace.

Abstract:

The theme of the thesis is duty of care, duty of loyalty and liability of company officer. In the first two chapters I deal with the detailed analysis of the terms duty of care, duty of loyalty and business judgement rule. In the third chapter I cover the consequences of the breach of duty of care and duty of loyalty with an emphasis on the private responsibility. The goal of the thesis is to describe duty of care, duty of loyalty and business judgement rule after recodification of the private law and also to analyse the consequences connected with the breach of these duties by the company officer.
