Limited Partnership and Taxation of its Business Activities

Abstract:

Diplomová práce se věnuje problematice specifického zdaňování v komanditní společnosti. Obsahuje úvod do historie, jak a kdy začaly vznikat první komanditní společnosti a její následný vývoj. Jsou zde vysvětleny základní pojmy z oblasti obchodních korporací. Práce představuje komanditní společnost, jako obchodní společnost, i jako podnikatelský subjekt. Jsou zde vysvětleny způsoby, jakými je možné za komanditní společnost jednat, dále založení a samotný vznik komanditní společnosti, struktura její organizace a samozřejmě také zánik společnosti. Práce se zabývá právním postavením společníků v této společnosti, což mimo jiné zahrnuje jejich práva a povinnosti, způsoby ručení a specifikaci jejich podílů. Definovány jsou také pojmy z oblasti hospodaření společnosti, zdanění zisků komanditní společnosti a zisků jejích společníků. Na závěr se práce věnuje komparaci zdanění v této společnosti a ve veřejné obchodní společnosti a vyhodnocuje odlišnosti mezi nimi.

Abstract:

This diploma thesis deals with the issue of specific taxation in a limited partnership. It contains an introduction to the history, information on how and when the first limited partnerships were formed and their subsequent development. Concurrently, the basic terms in the area of business corporation regulation are explained. The diploma thesis presents a limited partnership as a trading company, as well as a business entity, and presents the options of representing the limited partnership by the entitled person. The thesis also deals with the limited partnership establishment and incorporation, its internal structure and, of course, its dissolution and liquidation. The thesis deals in particular with the legal status of members in limited partnership, which includes, inter alia, their rights and obligations, their different liability and specification of their interests. It also defines the terms from the economic management area, taxation of profits of limited partnership and taxation of profits of its partners. Finally, the thesis compares taxation in a limited partnership to the taxation in an unlimited partnership, and summarizes the main differences.
