Abstract:

Předkládaná diplomová práce se zabývá tématem kupní smlouvy uzavřené distančním způsobem se spotřebitelem. Česká legislativa prošla v posledních dvou letech značnými změnami. Tyto změny byly zapříčiněny přijetím zákona č. 89/2012, občanský zákoník. Do OZ byla implementována směrnice 2011/83/EU, o právech spotřebitelů. Hlavním cílem této práce je popsat čtenáři problematiku kupních smluv uzavíraných pomocí prostředků komunikace na dálku. Autoři si na začátku práce položili dvě otázky. První otázka byla, zda stávající právní úprava ochrany spotřebitele je dostačující a druhá otázka byla, zda implementace směrnice 2011/83/EU byla provedena správně. K zodpovězení těchto otázek byla použita metoda komparace s předchozím občanským zákoníkem a s německou legislativou, zejména s BGB. Práce je rozčleněna do šesti kapitol. Pro lepší porozumění použitých termínů v této práci, obsahuje první kapitola jejich vymezení. Následující kapitola obsahuje informace o aktuální legislativě o kupních smlouvách uzavřených distančním způsobem. V této kapitole bude čtenář také seznámen se změnou v principu harmonizace, na které jsou založeny směrnice EU, z minimální na úplnou. Třetí kapitola se zabývá předsmluvní informační povinností a uzavřením smlouvy. Sdělení, které musí podnikatel před uzavřením smlouvy spotřebiteli sdělit je jednou z nejdůležitějších ochran poskytnutých spotřebiteli v oblasti distančních smluv. Zákonodárce vymezil dva typy informační povinnosti. První je informační povinnost obecná a druhá je speciální pro distanční smlouvy a smlouvy uzavřené mimo prostory určené k podnikání. Dle české právní úpravy je nutné na kupní smlouvy uzavřené distančním způsobem použít oba druhy informační povinnosti dohromady. Čtvrtá kapitola se zabývá tématem práv a povinností smluvních stran distanční kupní smlouvy. Je následována pátou kapitolou o odpovědnostních vztazích těchto smluvních stran. Zejména je v této kapitole upravena odpovědnost z vadného plnění a záruka za jakost. Rozebírá se zde i otázka, zda OZ i nadále obsahuje dvouletou zákonnou záruku či nikoli. Závěrečná kapitola je věnována odstoupení od distanční kupní smlouvy. Spotřebitel má právo na odstoupení od této smlouvy ve lhůtě čtrnáct dnů. Toto spotřebitelovo právo hraje hlavní roli v jeho ochraně. Na samý závěr jsou odpovězeny otázky položené v úvodu práce. Dále jsou také navrhnuta některá zlepšení pro oblast spotřebitelského práva. Autoři práce považují stávající právní úpravu za více méně postačující, neboť poskytuje spotřebiteli dvě základní formy ochrany odstoupení od smlouvy a předsmluvní informační povinnost ze strany podnikatele. Ohledně implementace je shledán názor, že mohla být provedena lépe a je zákonodárci navrženo, aby si vzal příklad z německé právní úpravy.

Abstract:

This diploma thesis deals with a topic of contract of purchase concluded with consumer at a distance. The Czech legislation has in past two years faced large changes. These changes were caused by the effect of the act Nr. 89/2012, Civil Code. Into this Civil Code was implemented the Directive 2011/83/EU, on consumer rights.The main goal was to describe to the reader the problems of purchase contract concluded with the use of the means of distance communication. The authors asked themselves at the beginning of writing this thesis two questions. The first one was if the current legislation on consumer protection is sufficient and the second question was, if the implementation of the Directive 2011/83/EU was performed correctly. To answer these questions we used the methods of comparison with the act Nr. 40/1964, Civil Code and with the German legislation, mainly with Bürgerliche Gesetzbuch (BGB).The thesis is divided into six chapters. For a better understanding of the terms used in this thesis, in the first chapter we have defined all of the important terms. The following chapter provides information on current legislation on contracts of purchase concluded with consumer at a distance. In this chapter will be the reader acquainted with the change of the principle of harmonisation, on which are based the directives of the European Union, from minimal to full harmonisation.The third chapter deals with the mainstay of communications made before the conclusion of a contract and the process of conclusion of the contract itself. The information that the entrepreneur has to notify consumer before the conclusion of a contract is one of the main protection given to the consumer in the area of distance contracts. The legislator has divided two types of the communications made before the conclusion of a contract. The first one id generally used for all consumer contracts and the second one adjust the information given before the conclusion of a distance contracts and contracts negotiated away from business premises. According to the Czech legislation are both these applicable to contract of purchase made with the use of the means of distance communication.The fourth chapter gets acquainted with the topic of the rights and obligations of the parties of the purchase contract. This is followed by fifth chapter, which deals with the liability relations of the parties of the purchase contract made with the use of the means of distance communication. Particularly with rights arising from defective performance and quality guarantee. Here we are dealing with the question of whether the civil code still continues to maintain a two-year legal warranty or not. The final part of the thesis is devoted to area of withdrawal from distance contract of purchase. A consumer has the right to withdraw from such a contract within fourteen days. This consumer´s right plays the crucial role in consumer protection. At the very end are in particular answered the questions presented in the introduction. There are also made some suggestions for betterment of consumer legislation. The author of this thesis considers the contemporary legislation more or less sufficient. The civil code contains two core consumer´s protections - right to withdraw from distance contract of purchase and the entrepreneur´s duty to notify consumer before the conclusion of a contract about information specified by law. About the implementation is our view, that it could have been done better and the legislator should follow example from his German colleague.
