Nárok dle § 348 odst. 4 z.o.k. na vrácení vyplaceného podílu na zisku je jedním z mechanismů ochrany vlastního kapitálu společnosti. S příchodem tzv. velké novely z.o.k. č. 33/2020 Sb. byl však změněn. Došlo k jeho systematickému přesunu, vypuštění explicitní domněnky dobré víry příjemce zisku a jeho působnost byla zúžena výhradně na akciovou společnost.
