Ownership interests in limited liability company in connection with joint property of spouses

Abstract:

The subject-matter of this bachelor work is ownership interest in the limited liability company in connection with joint property of spouses. The work is divided into three chapters. The content of the first chapter is dedicated to characteristic of the nature of ownership interest as the subject of legal relations. Characteristic of ownership interest is performed on the basis of its quantitative and qualitative aspect, as well as on specification of fundamental features of ownership interest – such as consistency, divisibility, joint-ownership of the interest. The second chapter deals with dispose of the ownership interest, that means contracting and the other ways of handling with the interest in a legal environment. In term of specific criteria there are set out various ways of disposition with ownership interest and a detailed characterization of the transfer of interest, and also of the passage of interest in cases of the disappearance of a shareholder – an individual and a shareholder – a legal person. The third chapter is considered as the most important, and therefore represents an underlying part of this work. It is divided into two subsections, where we have tried to deal with the relation between joint property of spouses and ownership interest.

Abstract:

Témou bakalárskej práce je obchodný podiel v spoločnosti s ručením obmedzeným v súvislosti s bezpodielovým spoluvlastníctvom manželov. Práca je členená na tri kapitoly. Obsahom prvej kapitoly je charakteristika obchodného podielu ako predmetu právnych vzťahov. Charakteristika obchodného podielu je podávaná na podklade jeho kvalitatívnej stránky a kvantitatívnej stránky, a súčasnej špecifikácie pojmových vlastností obchodného podielu – jednotnosť, deliteľnosť, spolumajiteľstvo obchodného podielu. Druhá kapitola je venovaná dispozícii, teda nakladaniu s obchodným podielom. Z hľadiska určených kritérií sú vymedzené jednotlivé spôsoby disponovania a bližšia charakteristika prevodu obchodného podielu, pričom sa venujeme aj prechodu obchodného podielu pri zániku spoločníka – fyzickej osoby a spoločníka – právnickej osoby. Za najdôležitejšiu považujeme tretiu kapitolu, ktorá je nosnou časťou tejto práce. Je rozdelená na dve podkapitoly, v ktorej sme sa snažili vyporiadať s otázkou vzťahu BSM a obchodného podielu.
