Business Corporation Governing Body Members and Bankruptcy

Abstract:

Tato diplomová práce se zabývá odpovědností členů statutárního orgánu obchodní korporace ve vazbě na úpadek. Práce zkoumá standardy péče a povinnosti těchto osob vzhledem k (hrozícímu) úpadku a dále se věnuje odpovědnostním institutům upraveným v § 99 insolvenčního zákona a § 62 až 68 zákona o obchodních korporacích (ZOK). Zaměřuje se především na výkladové problémy této právní úpravy, jejichž řešení se snaží navrhnout. Práce se dále věnuje připravované novele ZOK, kterou hodnotí a srovnává s aktuálně účinnou právní úpravou.

Abstract:

This diploma thesis deals with the liability of business corporation governing body members concerning bankruptcy. The thesis examines the standards of care and obligations of these persons in relation to (imminent) bankruptcy and deals with the special liability mechanisms found in Section 99 of the Insolvency Act and Sections 62 to 68 of the Business Corporation Act. It focuses primarily on issues connected to interpretation of this legislation and tries to suggest possible solutions. Furthermore, the thesis takes into account the prepared changes to Business Corporation Act, while evaluating it and comparing it to the legislation in force.
