Termination for Breach of Contract

Abstract:

Tato disertační práce zkoumá problematiku odstoupení od smlouvy jako nástroje reagujícího na porušení smlouvy, s důrazem na obecnou právní úpravu odstoupení v českém občanském zákoníku. První kapitola identifikuje základní charakteristické rysy odstoupení od smlouvy a jeho historický původ. Druhá kapitola srovnává přístupy k odstoupení od smlouvy v právních úpravách BGB, ABGB, CISG, PECL, DCFR a PICC. Třetí kapitola se zaměřuje na historický vývoj české právní úpravu odstoupení od smlouvy, současnou podobu právní úpravy a vztah odstoupení od smlouvy k jiným terminačním mechanismům. Čtvrtá kapitola analyzuje důvody pro odstoupení, a to především koncepty podstatného porušení smlouvy a anticipatory breach v rámci obecné úpravy, dále se zabývá tzv. kombinovaným modelem odstoupení pro případ prodlení, kde se zvláště věnuje konceptu Nachfrist mechanismu. Pátá kapitola zkoumá předpoklady kladené na úkon odstoupení a samotný výkon práva na odstoupení. Šestá kapitola se věnuje účinkům odstoupení, včetně otázky, zda působí jen obligační nebo i věcněprávní účinky, a problematice částečného odstoupení od smlouvy. Práce si klade za cíl poskytnout komplexní pohled na institut odstoupení od smlouvy a vyřešit sporné právní otázky, které tento institut provázejí.

Abstract:

This dissertation examines the issue of the termination of a contract as a remedy for breach of contract, with an emphasis on the general provisions on termination in the Czech Civil Code. The first chapter identifies the basic characteristics of termination and its historical origins. The second chapter compares the approaches to termination in the BGB, ABGB, CISG, PECL, DCFR and PICC. The third chapter focuses on the historical development of the Czech law on termination, the current form of the law and the relationship of the termination to other termination mechanisms. The fourth chapter analyses the grounds for termination, in particular the concepts of fundamental breach and anticipatory breach under the general framework, and it also deals with the so-called combined model of termination for default, where the concept of the Nachfrist mechanism is particularly discussed. The fifth chapter examines the prerequisites for the notice of termination and the very exercise of the right to terminate. The sixth chapter examines the effects of termination, including whether it has only obligational or also proprietary effects, and the issue of partial termination. The thesis aims to provide a comprehensive view of the institute of termination and to resolve the controversial legal issues surrounding this institute.
