Abstract:

Pro svou diplomovou práci jsem si vybrala téma “Podplácení a obchodní tajemství“, protože právě tato dvě témata v odborné literatuře nenacházejí tolik pozornosti, kolik by si zasloužila. Celá práce je rozdělena do tří kapitol, které pojednávají o nekalé soutěži, porušení obchodního tajemství a podplácení. První kapitola popisuje problém nekalé soutěže, obsahuje její definici a generální klauzuli. Je zde také vymezení subjektů práva nekalé soutěže a soukromoprávní prostředky právní ochrany, které nekalá soutěž nabízí. Další kapitola pojednává o porušení obchodního tajemství jakožto o konkrétní skutkové podstatě nekalé soutěže a dále zahrnuje typické subjekty pro tuto skutkovou podstatu a právní prostředky ochrany. Poslední kapitola popisuje podplácení jakožto konkrétní skutkovou podstatu nekalé soutěže i jako trestný čin. Diplomová práce je zakončena úvahami de lege ferenda. Témata porušení obchodního tajemství a podplácení jsou velmi zajímavé a v dnešní době také důležité. Obchodní tajemství představuje pro jejich majitele často jediný zdroj jejich životní síly. Z tohoto důvodu se podnikatelé z celého světa snaží udržet svá obchodní tajemství v tajnosti. Ačkoliv právní řády mnoha států mají snahu ochraňovat obchodní tajemství před jejich porušováním, ne vždy je taková ochrana efektivní, včasná a dostupná.V budoucnosti by se nejen vnitrostátní právní řády, ale i mezinárodní právní systémy, měli snažit najít a zajistit vhodné prostředky ochrany obchodního tajemství, které by jejich majitelům zajistily nerušený výkon jejich práv. Podplácení představuje v dnešní době v hospodářské soutěži velmi vážný problém, protože způsobuje její deformaci. Současná právní úprava se snaží potlačovat podplácení mnoha způsoby – soukromoprávními prostředky, veřejnoprávními prostředky, mezinárodními úmluvami, apod., nicméně tyto úpravy nejsou vždy efektivní, včasné a dostupné.

Abstract:

For my diploma thesis I chose theme “Corruption and Violation of Commercial Secret” above all in technical literature the problem of corruption and violation of the commercial secret does not occur as often as it deserves. Whole thesis is divided into three main chapters which records substance of the unfair competition and qualified facts of the corruption and violation of commercial secret. First chapter features the problem of unfair competition, consist of the definition and general clause. There is also determination of subjects of the unfair competition and legal remedies in private law. Next chapter consist concept of the violation of the commercial secret as a part of unfair competition law inclusive the typical subjects for this qualified fact and legal remedies. Last chapter describe The Corruption, what presents the special factum of the unfair competition law and also corruption as criminal act. The thesis is ended by considerations of the commercial secret de lege ferenda. The theme of the violation of commercial secret and corruption are very interesting and also in these days import. Commercial secret presents for its owner the resource of the life power. That is reason why enterprisers throughtout all the world make an effort to keep it in secret. Even if legal regulations of many states try to protect the commercial secret against its violation, not always that protection is efficacious, timely and accessible. In future not only intrastate body of laws but also international legal systems should find and establish appropriate protection of commercial secrets that will ensure for their owner undisturbed exercise of their rights. Corruption presents in these day very serious problem of economic competition all around the world, because it evokes its deformation. Present legislation try to restrain corruption in many ways - legal remedies in private law, legal remedies in public law, international agreements, etc., however legislation is not always efficacious, timely and accessible.
