The Legal Significance of "Purpose of the Contract" in Commercial Obligation Law

Abstract:

Tato práce se zabývá identifikací oblastí, institutů a konceptů z oblasti obchodních závazkových vztahů, pro něž může mít uvedení účelu ve smlouvy význam, a následným zhodnocením právních následků tohoto uvedení, resp. neuvedení. Jedním z cílů práce je poskytnutí doporučení, zdali by účastníci obchodních závazkových vztahů měli ustanovení o účelu smlouvy zahrnout do svých smluv. V práci je zdůrazněna povaha účelu smlouvy jako významného hlediska při interpretování smluv. Autorka rovněž rozebírá ekonomické dopady, které se pojí s uvedením účelu ve smlouvě. Tyto ekonomické aspekty je žádoucí vzít v úvahu a nazírat je optikou té strany, o jejíž zájmy se v konkrétním případě jedná. Součástí práce je také srovnání současné úpravy s právní úpravou nového občanského zákoníku. Pozornost je věnována také mezinárodně-právním dokumentům, a to jak z kategorie pramenů právně závazných (zejména pak CISG), tak ze sféry tzv. soft law (zejména Zásady UNIDROIT, PECL a DCFR), jejichž faktický význam je i navzdory jejich nezávaznému charakteru nezpochybnitelný.

Abstract:

The idea of the thesis is to demonstrate the influence of the purpose of a contract in a wide range of cases. It has been shown that the influence and its consequences are to a great extent remarkable (i.e. the purpose of a contract is able to substantially alter a large number of concepts, terms and institutes). The influence can be noticed in numerous cases, most notably in a sphere of interpretation of contracts. Bearing in mind the contracts should be interpreted as a whole, purpose of a contract might be of great value to parties. In case of dispute regarding interpretation of a particular contractual clause, priority should be given to the meaning that corresponds to the purpose of the contract. Furthermore, economic repercussions are seen as quite significant as well. A party to a contract might save (or gain) a considerable amount of money if the purpose of the contract is expressed in the contract. However, a lot depends on whose point of view is emphasized in a particular case. Almost every chapter is also compared with the alteration arising out of the New Civil Code. Last but not least, international documents relating to the category of the so-called soft law are mentioned in the thesis. Although these documents, particularly the UNIDROIT Principles, PECL and DCFR, lack statutory force and thus cannot be legally enforced, there is no doubt that their actual influence is quite considerable.
