Management of the MNC in the international environment

Abstract:

Hlavním cílem této práce byla analýza koncernu HTM Group (divize Tyrolia) při aplikaci principů Corporate Governance. Teoretická část obsahuje přehled soudobých přístupů, systémů a doporučení pro oblast správy a řízení mezinárodních koncernů a nadnárodních firem, včetně popisu typických znaků nadnárodních koncernů a principů vzniku koncernu na základě hospodářské činnosti a obchodního zákoníku. Praktická část práce obsahuje popis konkrétní nadnárodní firmy, její rakouské centrály a její provázanosti s českou pobočkou. Obě firmy jsou analyzovány z organizačního hlediska, z hlediska správy dle principů Corporate Governance a hlediska interkulturních dopadů. Jednotlivá hlediska jsou hodnocena s ohledem vlivu na mezinárodní management. Metoda empirického výzkumu (interview) byla použita k potvrzení či vyvrácení výzkumných otázek. Metoda finanční analýzy byla využita ke stanovení úrovně správy a řízení české pobočky HTM Sport s.r.o, závod Litovel.

Abstract:

The main objective of this work was to analyze group HTM Group (a division Tyrolia) when applying the principles of Corporate Governance. The theoretical part contains an overview of contemporary approaches, systems and recommendations for the governance of international corporations and multinational companies, including a description of typical characteristics of multinational corporations and the principles of the group on the basis of economic activity and the Commercial Code. Practical part contains a description of specific multinational company, its Austrian headquarters, and its links with the Czech local branch. Both companies are analyzed from an organizational standpoint, in terms of administration according to the principles of Corporate Governance and terms of intercultural impact. Individual aspects are evaluated with regard to the impact of international management. The method of empirical research (interviews) was used to confirm or reject the research questions. Financial analysis method was used to determine the level of governance of the Czech local branch HTM Sport Ltd. Litovel works.
