Abstract:
Institut samostatně převoditelných práv zákon o obchodních korporacích zakotvuje v rámci zákonné úpravy akciové společnosti. Koncipuje je přitom jako výjimku z pravidla, že s akcií přecházejí i všechna práva s touto akcií spojená. V rámci zákonné úpravy společnosti s ručením omezeným však tento institut nijak nefiguruje. Separately transferable rights are regulated by the Business Corporations Act in the context of a joint-stock company as an exception to the rule that all rights associated with the share are transferred with the share.
