Financial and Non-Financial reporting of the large corporation from a legal point of view.

Abstract:

Diplomová práce bude rozdělena do šesti hlavních kapitol a několika dalších podkapitol na základě následné potřeby vzniklé při zpracování tématu. Úvod diplomové práce bude zahrnovat stručné seznámení s tématem a cílem práce. Druhá část bude věnována základním informacím o problematice oblasti finančního práva v ČR v současnosti, včetně malého exkursu do historie finančního práva. Detailněji bude rozebrána historie výkaznictví v ČR z právního pohledu. Třetí část se bude věnovat finančnímu vykazování velkých korporací. Budou popsány nejdůležitější typy finančních výkazů (především Rozvaha a Výkaz zisku a ztráty, Přehled o peněžních tocích a Přehled o změnách vlastního kapitálu, včetně Přílohy k účetní závěrce). Především bude provedena analýza jejich právní úpravy v ČR, z pohledu EU a platného mezinárodního práva. Čtvrtá část se bude věnovat pouze nejdůležitějším typům dokumentům vznikajícím při nefinančním vykazování velkých korporací. Popsána bude především: Výroční zpráva (dle požadavků zákona č. 563/1991 Sb. Zákon o účetnictví), dále vykazování nefinančních informací (dle části VIII. zákon č. 563/1991 Sb. Zákon o účetnictví). Dále budou obecně popsány i ostatní nefinanční reporty používané ve světě (CSR, B corporation a Benefit corporation, Creating Shared Value (CSV)) a právní požadavky na jejich tvorbu. Na závěr třetí a čtvrté kapitoly bude provedena základní analýza potenciálních právních rizik vzniklých z chybného plnění či neplnění povinnosti finančního a nefinančního vykazování. Pátá část se bude věnovat rozboru relevantní judikatury vztahující se k zadání práce. Závěrečná, šestá část se bude krátce věnovat zkušenostem s finančním a nefinančním vykazováním ve světě z pohledu práva a možným dalším potenciálním vývojem.

Abstract:

The topic of this diploma thesis is "Financial and Non-Financial reporting of thelarge corporation from a legal point of view". The thesis is divided into six main parts. Firstly, I explain the reasons for which I have chosen this legal issue for my thesis. Then I briefly introduce the topic itself and the goals of the thesis. In the following part I deal with the basic principles of todays' financial law in the Czech Republic. I also devote a little part to the history of the Czech financial law, with a special emphasis on the history of financial reporting in the Czech Republic from a legal point of view. In the third part, I analyse financial reporting of large business corporations. I describe the most significant types of financial reports (especially Balance Sheet and Income Statement, Cash Flow Statement and Statement of Changes in Equity, including Annexes to the Financial Statement). In particular, an analysis of the legislation regulating these documents is performed from the perspective of the European Union law and applicable international law. In the fourth part, I concentrate on the most important documents arising from nonfinancial reporting of large business corporations. The following will be mentioned in particular: The Annual Report (as required by Act. No. 563/1991 Coll., on accounting) and reporting of non-financial information (pursuant to part VIII. of the Act No. 563/1991 Coll., on accounting). In this part, I also introduce other nonfinancial reports used worldwide (such as CSR, B corporation and Benefit corporation, Creating Shared Value - CSV), as well as legal requirements for their creation. Finally, I carry out a basic analysis of potential legal risks which arise from a defective performance or from a failure to fulfil obligation of financial and non-financial reporting. In the fifth part, I examine relevant case law and I devote the last part to experience with financial and non-financial reporting worldwide, approached from a legal point of view. Lastly, I bring up a discussion about further potential development in this area.
