Audit of financial statements for conversions in the Czech Republic

Abstract:

Tato diplomová práce se zaměřuje na přeměny auditovaných společností, uskutečněné v roce 2015. Zkoumané přeměny se uskutečnily na území České republiky. První část práce je věnována teoretické stránce problematiky přeměn. Teoretická část se zaměřuje prvně na legislativní úpravu přeměn, poté se práce zaobírá auditem přeměn společností. Cílem empirické části bylo vyhodnocení, zda jsou výsledky v souladu s teoretickými poznatky a zkoumání auditorských společností a jejich zastoupení v rámci vybraného vzorku. Analyzovaný vzorek obsahoval 442 přeměn. Z výsledků provedených zkoumání vyplynulo, že společnosti zúčastněné na přeměnách byly auditovány převážně auditorskými společnostmi. V nadpoloviční většině přeměny probíhaly formou fúze sloučením a nedocházelo k dodržení zákonem stanoveným podmínkám v rámci zveřejnění auditovaných dokumentů

Abstract:

This diploma thesis focuses on the transformations of audited companies carried out in 2015. The investigated transformations took place in the territory of the Czech Republic. The first part of the thesis is devoted to the theoretical aspect of the issue of transformations. The theoretical part firstly focuses on the legislative regulation of conversions, then the thesis deals with the audit of company conversions. The aim of the empirical part was to evaluate whether the results are in line with theoretical findings and to examine audit companies and their representation within the selected sample. The analysed sample contained 442 conversions. The results of the investigations showed that the companies involved in the transformations were audited mainly by auditing companies. In majority of cases, the transformations took place in the form of mergers and acquisitions, and there was no compliance with the conditions established by law in the framework of the publication of audited documents.
