Representation of the Entrepreneur Based on the Representation Agreement

Abstract:

Bakalářská práce se zabývá problematikou smluvního zastoupení podnikatele. Práce je rozdělena do tří hlavních kapitol. První kapitola vymezuje pojem podnikání, osobu podnikatele a jeho právní jednání. Druhá kapitola popisuje občanskoprávní plnou moc a prokuru. Především zahrnuje jejich charakteristiku, náležitosti, vznik, rozsah jednatelského oprávnění a zánik. Mezi těmito instituty je několik zásadních rozdílů, proto je v práci zachyceno srovnání z hlediska jejich rozdílnosti. Vzhledem k tomu, že 1. ledna 2014 nabude účinnosti nový občanský zákoník, práce rovněž obsahuje krátké srovnání smluvního zastoupení současné právní úpravy s novým občanským zákoníkem. Kapitola třetí se věnuje vybraným problémům, které jsou se smluvním zastoupením spojeny. Patří mezi ně např. vnitřní vztah podnikatele a prokuristy, překročení jednatelského oprávnění zmocněnce a prokuristy a prokura a pracovně právní vztahy.

Abstract:

The bachelor´s paper analyses the topic contractual representation of the entrepreneur. The document is divided into three chapters. The first chapter identifies the term entrepreneurship, the entity of the entrepreneur and its legal negotiation. The second chapter describes the power of attorney issued pursuant to the Civil code and the procuration, especially its characteristic, the mandatory content, creation and the scope of the agent´s representation and extinction. This paper identifies a comparison of the fundamental differences between these institutes. With respect to the amendment of the Civil Code that will come to force on 1st January 2014 also a brief comparison of the contractual representation definition pursuant to the currently valid legislation and the contractual representation pursuant to the new legislation is incorporated herein. The third chapter addresses to the selected issues connected with the contractual representation such as internal relations between the entrepreneur and the principal, dealing beyond attorney´s and principal´s competency, the procuration and labour relations.
