Merge, consolidation and division of cooperatives

Abstract:

Bachelor thesis is theoretical and deals with problems of merging division and consolidation of cooperatives in Slovak legislation. The available literature sources in the first part are devoted to general characteristics of a fundamental principle and character of cooperatives. It delivers knowledge of the origin and development of cooperatives in Slovakia, describes the definition of cooperative, creation and termination of membership in it, functions and the organization of the cooperative. In the second part the attention is aimed on the creation, abolition, establishment, liquidation and termination of the cooperative, in terms of the Commercial Code. From the available resources of the Ministry of Justice thesis analyzes creation and termination of cooperatives since the establishment of the Commercial Register of Slovak Republic in years 2000 – 2014 and state of the registered cooperatives till 31st December in 1993 – 2014. it points out the need for new the legal form of cooperatives and the need for increased support and assistance from the state. The last part of the thesis describes and elaborates the dissolution and liquidation of cooperatives.

Abstract:

Práca je teoretická a zaoberá sa problematikou splynutia, rozdelenia a zlúčenia družstiev v slovenskej právnej úprave. Z dostupných literárnych prameňov sa v prvej časti práce venuje všeobecnej charakteristike a základným princípom a znakom družstiev. Prináša poznatky o vzniku a vývoji družstevníctva na území Slovenska, popisuje definíciu družstva, založenie a vznik družstva, vznik a zánik členstva, orgány a organizáciu družstva. V druhej časti práce je hlavná pozornosť venovaná otázkam splynutia, rozdelenia, zlúčenia a premenám družstiev v slovenskej právnej úprave, z hľadiska Obchodného zákonníka. Z dostupných zdrojov Ministerstva spravodlivosti SR analyzuje vznik a zánik družstiev od vzniku Obchodného registra SR, za obdobie rokov 2000 až 2014 a stavy zaregistrovaných družstiev k 31.12. daného roka, za obdobie rokov 1993 až 2014. Zdôrazňuje potrebu novej konkrétnej právnej úpravy družstiev a potrebu zvýšenia podpory a pomoci zo strany štátu. Posledná časť práce rozvádza a popisuje zrušenie a likvidáciu družstiev.
