Standardization of Business Contracts and Sector Regulation

Abstract:

Předložená práce se zabývá právní úpravou jednotlivých nástrojů standardizace ve vybraných sektorových regulacích (upravujících podnikání v oblasti energetiky, elektronických komunikací, poštovních služeb, bankovnictví, pojišťovnictví a kapitálového trhu). Standardizace obchodních smluv je pro odvětvově regulované oblasti podnikání typická; těžiště právní úpravy smluvních vztahů (včetně standardizace) však zůstává v občanském zákoníku. Práce shrnuje důvody pro zvláštní regulaci standardizace v odvětvově regulovaném podnikání, vymezuje využívané nástroje standardizace a předkládá důvody, proč je třeba kontrolovat v odvětvově regulovaných oblastech podnikání standardizované obchodní smlouvy (i ve vztazích mezi podnikateli). Analýza právní úpravy v sektorových regulacích a v občanském zákoníku se dělí do tří okruhů zabývajících se (i) kontrolou inkorporace, (ii) kontrolou inkorporace změn a (iii) obsahovou kontrolou. Hlavním cílem práce je vymezit základní vztah mezi soukromoprávní úpravou standardizace v občanském zákoníku a sektorovými regulacemi, vyhledat sporná místa právní úpravy a předložit návrhy řešení výkladových a aplikačních nejasností. Práce se soustředí pouze na obchodní smlouvy v užším pojetí (kde je zákazníkem podnikatel).

Abstract:

This thesis deals with the regulation of means of standardization in selected sector-specific regulations (regulating business in energy industry, telecommunication services, postal services, banking and insurance sector, and capital market). Standardization of business contracts is typical for sector-regulated business areas; nevertheless, the crucial legal regulation of contractual relationships (including standardization) is situated in the Civil Code. The thesis summarizes the reasons for specific regulation of standardization in sector-regulated business areas, defines the tools used for standardization and sets out the reasons why it is necessary to control the standard terms, framework agreements and standard form contracts (even between entrepreneurs) in the sector-regulated business areas. The analysis of legal regulation in sector-specific regulations and in the Civil Code is divided into three parts dealing with: (i) a control of incorporation, (ii) a control of incorporation of changes, and (iii) a content control. The main aim of the thesis is to define the relationship between the private law regulation of standardization in the Civil Code and sector-specific regulations, to find the points of friction and to suggest how to solve them. This thesis focuses only on B2B contracts (where the customer is an entrepreneur).
