Position of the Debtor in the Case of Assignment of a Claim

Abstract:

Cílem této diplomové práce je analýza právních aspektů institutu postoupení pohledávky se zaměřením na osobu postoupeného dlužníka. Postoupení pohledávky je postaveno na základním principu, dle něhož by změnou v osobě věřitele nemělo dojít ke změně v právním postavení dlužníka. V rámci této práce blíže rozeberu jednotlivá ustanovení právního řádu, jejichž smyslem a účelem je poskytovat dlužníkovi náležitou ochranu v případě, kdy k postoupení pohledávky na třetí osobu dojde. Bližší pozornost bude věnována též účinkům porušení smluvního zákazu postoupení pohledávky, na jejichž výkladu nepanuje na poli právní teorie shoda.

Abstract:

The aim of this thesis is to analyse the legal aspects of the institute of assignment of a claim with a focus on the person of the assigned debtor. The assignment of the claim is based on the fundamental principle that a transition of the creditor should not lead to a modification in the debtor's legal status. Within this thesis, I will analyse in more detail the individual provisions of the legal order, the purpose of which is to provide the debtor with adequate protection in the event of the assignment of the claim to a third party. Closer attention will also be paid to the effects of a breach of the no-assignment clause on the assignment of a claim since the interpretation of which is not agreed upon in the field of legal theory.
