Agreement on the Performance of an Corporate Board Office in Business Practice

Abstract:

Předmětem diplomové práce je vymezení účelu a smyslu smlouvy o výkonu funkce a analýza její právní úpravy a právního režimu. Práce se dále věnuje obligatornímu a fakultativnímu obsahu smlouvy o výkonu funkce a nejčastějším prvkům v ní obsaženým, přičemž zvláštní pozornost je věnována odměňování za výkon funkce. Cílem je identifikace nejvýznamnějších právních problémů spojených se smlouvou o výkonu funkce v praxi a tvorba praktických doporučení. V závěru práce jsou obsaženy vzorové smlouvy o výkonu funkce s komentářem.

Abstract:

The objective of the master thesis is to define the purpose and function of the agreement on the performance of an office as well as to analyse the legislation and legal regime. The study also discusses the obligatory and facultative content of the agreement on the performance of an office, the most common elements contained in it and pays special attention to the remuneration. The aim of this thesis is to identify the most important legal issues associated with the agreement on the performance of an office in practice and to propose practical recommendations. The thesis also contains two model agreements on the performance of an office with a commentary.
