Abstract:

Tato bakalářská práce se zabývá oblastí problematiky orgánů akciové společnosti a její právní vymezení po roce 1989. Pojednává o jejich specifikacích, vzájemných vazbách, právním zakotvení a působnosti. Počátek práce hovoří o vývoji právní determinace v jednotlivých právních předpisech, od Zákona o akciové společnosti, přes Obchodní zákoník až po Zákon o obchodních korporacích. Následně vysvětluje pojem akciové společnosti v obecném pojetí. V kapitole druhé vymezuje systémy, od kterých se odvíjí vnitřní organizace společnosti. Jedná se o monistický systém a dualistický systém, přičemž dualistický model je na území České republiky využíván automaticky, avšak upozorňuje na skutečnosti, že záleží na volbě zakladatelů či akcionářů, jaký systém bude ovlivňovat vnitřní strukturu orgánů akciové společnosti. Dualistický, u nás běžnější model, je představován valnou hromadou, představenstvem a dozorčí radou. Práce pojednává o zřizování, o působnosti či o ukončení funkce. Problematika monistického systému je rozčleněna před novelou a po novela Zákona o obchodních korporacích, přičemž po novelizaci již není součástí struktury orgánů statutární ředitel a veškeré pravomoci přebrala správní rada.

Abstract:

This bachelor's thesis deals with the issue of the bodies of a joint-stock company and its legal definition after 1989. It discusses their specifications, mutual links, legal anchoring and scope. The beginning of the work describes the development of legal determination in individual legal regulations, from the Act on Joint-Stock Companies, through the Commercial Code to the Act on Business Corporations. Subsequently, he explains the concept of a joint-stock company in a general sense. In the second chapter, he defines the systems from which the company's internal organization is based. This is a monistic system and a dualistic system, while the dualistic model is automatically used in the territory of the Czech Republic, but it draws attention to the fact that it depends on the choice of the founders or shareholders, which system will influence the internal structure of the bodies of the joint-stock company. The dualistic model, more common in our country, is represented by the general meeting, the board of directors and the supervisory board. The thesis deals with the establishment, scope or termination of the function. The issue of the monist system is divided before the amendment and after the amendment to the Act on Business Corporations, while after the amendment the statutory director is no longer part of the structure of the bodies and all powers have been taken over by the board of directors..
