Commercial Register and publication of data in the context of the Slovak and European legislation

Abstract:

The subject of my thesis is to clarification and the summary of the legislation of commercial register. In the introductory section, I focused on development of the commercial register in the world and in our territory. I elaborated characteristics, an organization and activity of the business register. Devoted I have attention also to the effects of registrations in the commercial register. The content of the following chapter is to define the range of persons, which shall be entered in the commercial register. In the next part of my thesis I focused on the collected of documents, its meaning and content. The process of registration data and the possibility of filing for proposal entry in electronic form are elaborated in the fifth chapter. Here is also mentioned the registration process. I also pointed out the importance of disclosure in the Business Journal. I pointed to the unification of legislation commercial register of the European Union, as well as the change in the interpretation and application of the provisions, which originated in European Directives. I dedicated myself to the benefits of unification commercial register in particular the speed and quality processing of proposals for incorporation. I compared also the record keeping business subjects in some European Union countries and the United States.

Abstract:

Predmetom mojej bakalárskej práce je objasnenie a zhrnutie právnej úpravy obchodného registra. V úvodnej časti som sa venoval vývoju obchodného registra vo svete a na našom území. Rozpracoval som charakteristiku, organizáciu a činnosť obchodného registra. Venoval som pozornosť aj účinkom zápisov do obchodného registra.Obsahom nasledujúcej kapitoly je vymedzenie okruhu osôb, ktoré sa zapisujú do obchodného registra. V ďalšej časti svojej práce som sa zameral na zbierku listín, jej významu a obsahu. Proces registrácie údajov a možnosť podania návrhu na zápis v elektronickej podobe je spracovaný v piatej kapitole. Spomenutý je aj proces registrácie. Podotkol som aj dôležitosť zverejňovania údajov v Obchodnom vestníku. Poukázal som na právnu úpravu zjednotenia obchodného registra v rámci Európskej únie, ako aj zmenu vo výklade a aplikácii ustanovení, ktoré majú pôvod v európskych smerniciach. Venoval som sa prínosu zjednotenia obchodného registra najmä rýchlosti a kvalite vybavovania návrhov na zápis do obchodného registra.Porovnal som tiež vedenie evidencie podnikateľských subjektov v niektorých štátoch Európskej únie a Spojených štátoch amerických.
