Abstract:

Předmětem bakalářské práce je analýza postavení jednatele ve společnosti s ručením omezeným, zejména zpracování práv, povinností a odpovědností souvisejících s jeho funkcí. První část je uvedením k danému tématu a vymezením základních pojmů. V hlavní části byly stručně zmíněny povinné i nepovinné orgány společnosti, vymezení základních povinností jednatele, jeho vztah ke společnosti, možnosti zániku funkce, způsobilost k výkonu funkce, samotný výkon funkce jednatele, jeho práva, odpovědnost a ručení jednatele. V závěru je celé téma shrnuto.

Abstract:

The subject of this thesis is to analyze the position of managing director of a limited liability company, mainly his rights, duties and responsibilities associated with his function. The first part is an introduction to the topic and defining basic concepts. In the main part were mentioned the obligatory and optional corporate bodies, defining the basic obligations of agents, its relationship to society, the possibility end his function, fitness to perform the function, performance his function, his rights, responsibilities and liability of directors. In conclusion is the whole topic summarized.
