Squeeze-out of Minority Shareholders from a Joint-Stock Company

Abstract:

Předkládaná diplomová práce se týká vytěsnění menšinových akcionářů z akciové společnosti, jehož může hlavní akcionář docílit postupem dle ustanovení § 183i a násl. obchodního zákoníku. Práce se skládá ze dvou propojených částí. Cílem teoretické části je poskytnout čtenářům informace obecného charakteru, zejména pokud jde o základní principy a ekonomický účel institutu vytěsnění. Dále je v teoretické části rozebrána aktuální právní úprava účinná v České republice. V praktické části je pak uveden konkrétní příklad restrukturalizačního procesu akciové společnosti, jehož podstatou je vytěsnění minorit z akciové společnosti a její následná fúze sloučením se zanikající mateřskou společností s ručením omezeným. Praktická část tak má být zároveň i manuálem obsahujícím všechny základní kroky nezbytné k úspěšnému dokončení této restrukturalizace.

Abstract:

The present master's thesis concerns squeeze-out of minority shareholders from a joint-stock company, which might be achieved by the majority shareholder via the process established in Sec. 183i et seq. of the Commercial Code. The thesis consists of two interconnected parts. Aim of the theoretical part is to provide the readers with general information, especially as to the basic principles and economic purpose of the squeeze-out. The theoretical part furthermore analyzes the current legislation, effective in the Czech Republic. The practical part offers an actual example of a restructuring process of a joint-stock company, the essence of which is a squeeze-out of the minorities from a joint-stock company and its subsequent merger with a parent limited-liability company being acquired. The practical part also aims to be a manual comprising all basic steps necessary in order to successfully complete the restructuring.
