Financial due diligence in a company

Abstract:

Tato práce se zaměřuje na vysvětlení procesu finanční due diligence a její využití v praxi. V teoretické části práce je popsán původ a podstata due diligence jako takové. Dále teoretická část popisuje jednotlivé druhy due diligence, jejich zaměření, podstatu a vztah vůči finanční due diligence. V poslední kapitole teoretické části práce do hloubky rozebírá proces a postupy finanční due diligence se zaměřením na analýzu finančních výkazů a úpravu finančních ukazatelů. Je také zmíněn vztah finanční due diligence vůči auditu a finanční analýze. Nakonec je vysvětlen postup výpočtu hodnoty společnosti pomocí tzv. purchase price formula. V praktické části se práce zabývá reálně provedenou finanční due diligence ve dvou úzce spjatých společnostech, hloubkovou analýzou jejich finančních výkazů, úpravou příslušných finančních ukazatelů, a nakonec tyto informace využije pro výpočet jejich hodnoty.

Abstract:

This thesis aims to explain the process of financial due diligence and its usage in practice. The theoretical part of this thesis starts by explaining the background and principles of due diligence in general, then proceeds by description of various kinds of due diligence and their relation to financial due diligence. In the last section, the theoretical part examines financial due diligence in depth, it’s processes and guidelines, focusing especially on analysis of financial statements and adjustment of financial indicators. It also briefly mentions the relation between financial due diligence, financial audit and financial analysis. The theoretical part ends by explaining the calculation of company value through the purchase price formula. The practical part of this thesis describes a real due diligence process in two closely related companies, in depth analysis of their financial statements, adjustment of their financial indicators and finishes by using the acquired information to calculate the value of these companies.
