Contractual Penalty in the Civil Code

Abstract:

Tato diplomová práce je věnována institutu smluvní pokuty, který je v současné době fenoménem mezi způsoby zajištění závazků. Ačkoliv ho současná terminologie nově řadí mezi způsoby utvrzení dluhu, není pochyb, že smluvní pokuta patří mezi tradiční soukromoprávní instituty. Smluvní pokutu upravuje zák. č. 89/2012 Sb., občanský zákoník, v § 2048 až § 2052. Cílem této práce je pomocí zvolené metodologie nastínit a rozebrat problematické aspekty smluvní pokuty v soukromém právu a zároveň je v kontextu úpravy minulé konfrontovat s úpravou současnou a vyvodit z tohoto aplikovatelné závěry. První kapitola pojednává o charakteru smluvní pokuty a jejím místě v soukromém právu. Druhá kapitola nastiňuje její stručný historický vývoj. Zatímco třetí a čtvrtá kapitola se věnují samotnému ujednání o smluvní pokutě a určení její výše, kapitola pátá se zaměřuje na úroky z prodlení jakožto na institut smluvní pokutě podobný. Poslední, šestá, kapitola se věnuje zániku smluvní pokuty a vlivu odstoupení od smlouvy.

Abstract:

This thesis is devoted to the institute of the contractual penalty, which is currently a phenomenon in the ways to ensure commitments. Although the current terminology newly includes it among the ways of affirmation of a debt, there is no doubt that the contractual penalty can be classified among the traditional private institutes. The contractual penalty is in Act No. 89/2012 Coll., Civil Code, regulated in paragraphs 2048 to 2052. The aim of this thesis is to use a selected methodology to outline and analyse the problematic aspects of the contractual penalty in private law and to confront the past regulation with the current regulation within the legislative context and to draw conclusions from that applicable. The first chapter deals with the nature of the contractual penalty and its place in private law. The second chapter outlines its brief history. While the third and fourth chapter is devoted to the agreement of the contractual penalty and determining its amount, the fifth chapter focuses on interests on arrears as a similar institute. The last sixth chapter deals with the termination of the contractual penalty and the impact of the withdrawal of a contract.
