Dissolution and liquidation of cooperatives

Abstract:

The goal of this work was to highlight the issue of cooperatives lifted and subsequent destruction . The first chapter focuses on the cooperative and its theoretical definition . Refine learn what team has a history as one of the forms of business in Slovakia and is also thinking about the history of cooperatives in other countries . Also defined by current legislation cooperatives in the Commercial Code. If we want to characterize cooperative and its demise disposal , we must first uviezť as the team is based. Space we give the statutes , as they are very necessary to the functioning of the cooperative since its inception to the termination and also disposal . Team is composed of individual members is therefore necessary to navigate throughout the region . It is important to establish the role of each member as this can significantly assist in its operation and in the case already mentioned cancellations associated with the disposal of the definition of competence which the Member has a lot to worry about. Finally, you define a European team and its action . The second chapter is devoted to each body separately teams and their tasks . In the third and final chapter is to consider the dissolution of the cooperative and its actual cancellation. We focus on the two most common forms wound up and winding-up proceedings and wound up without liquidation . In connection with the termination of the cooperative without liquidation can uviezť some forms through which repealed team can znovupôsobiť market . It is the first merging with another team , the merger and that is the least beneficial division team. Regarding cancellation of cooperative associated with its disposal here characterize a liquidator who is it , what are its powers , responsibilities and how it is provided . At the same time define the obligations of the cooperative entering into liquidation and especially accounting . In the subsection below we discuss other options wound up .

Abstract:

Cieľom bakalárskej práce je poukázať na problematiku družstiev ich zrušenie a následnú likvidáciu. Prvá kapitola sa orientuje na družstvo a jeho teoretické vymedzenie. Podrobnejšie sa dozvedáme akú má históriu družstvo ako jedna z foriem podnikania na Slovensku a taktiež sa zamýšľame nad históriou družstiev v iných krajinách. Tiež si vymedzujeme súčasnú právnu úpravu družstva v obchodnom zákonníku. Ak si chceme charakterizovať družstvo a jeho zánik likvidáciou, najprv si musíme uviezť ako sa družstvo zakladá. Priestor dávame aj stanovám, nakoľko sú veľmi potrebné pri fungovaní družstva od jeho vzniku až po zánik a tiež likvidáciu. Družstvo je zložené z jednotlivých členov preto je nutné sa orientovať aj na túto oblasť. Je dôležité stanoviť úlohy každému členovi nakoľko to môže podstatným spôsobom napomôcť pri jeho fungovaní a v prípade už spomínaného zrušenia spojeného s likvidáciou aj stanovenie kompetencií, ktorý člen má čo na starosti. A nakoniec si vymedzíme európske družstvo a jeho pôsobenie. Druhá kapitola je venovaná samostatne jednotlivým orgánom družstva a ich úlohám. V záverečnej tretej kapitole sa zamýšľame nad zánikom družstva a jeho samotným zrušením. Orientujeme sa na dve najčastejšie formy zrušenia družstva a to zrušenie s likvidáciou a zrušenie družstva bez jeho likvidácie. V súvislosti so zrušením družstva bez likvidácie môžeme uviezť aj niektoré formy, prostredníctvom ktorých zrušené družstvo môže znovupôsobiť na trhu. Je to v prvom rade splynutie s iným družstvom, jeho zlúčenie a tou najmenej prospešnou je rozdelenie družstva. Čo sa týka zrušenia družstva spojeného s jeho likvidáciou tu si charakterizujeme kto je to likvidátor, aké sú jeho právomoci, zodpovednosti a akým spôsobom je ustanovený. Zároveň si vymedzujeme povinností družstva vstupujúceho do likvidácie a to najmä účtovné. V podkapitole ďalej rozoberáme iné možnosti zrušenia družstva.
