Abstract:
Diplomová práce se zabývá transpozicí evropské směrnice o nabídkách převzetí. Směrnice si stanovila dva cíle – vytvořit rovné podmínky pro nabídky převzetí v Evropě a zaručit stejnou úroveň ochrany zájmů držitelů účastnických cenných papírů. Práce se zamýšlí nad tím, zda bylo obou cílů dosaženo. Směrnice byla do českého práva transponována především zákonem o nabídkách převzetí. Směrnice stanoví pouze …more
Abstract:
The thesis deals with transposition of EU Directive on Takeover Bids into Czech Law. The main goal of the Directive was level-playing field for takeover bids in European Union and equivalent protection of holders of securities therein.
