Obligations of commercial banks under the art. No.566/2001 statut of the securities and investment services

Abstract:

This thesis deals with the issue as to what obligations commercial banks have under the Act no. 566/2001 Coll. on Securities and Investment Services as amended. A specific knowledge information system was chosen that would facilitate an easier understanding of the topic. The first chapter shall point out the initial situation - a short historical excursion as to how the financial market in the Slovak Republic has developed after 1989, following the integration process leading to accession to the European Union / European Community. In the second chapter, we will look at positions of the commercial banks under the current legislation - banking license activities that a commercial bank is authorised to perform, which persons are authorised to work in commercial banks and are considered reliable, and what the basic principles are, which commercial banks have to adhere to. The third chapter discusses Act no. 429/2002 Coll. on the Stock Exchange as amended. Organising the regulated securities market is a very important activity and therefore requires a high degree of responsibility, correctness, and professionalism. The law is closely related to the topic of the thesis and therefore we shall highlight some of the obligations that follow through this Act. The fourth chapter is the supportive body: Here we shall demonstrate the rationale, which have to the passing of Act no. 566/2001 Coll. and the implementation of its objectives. Entities, which are active on the monetary and capital markets shall be defined, and we shall specify the position in which a commercial bank may act as an entity and its duties it has to comply with. Given the extent of the law, we shall focus in a separate subsection particularly on the obligations of the Bank in its capacity as a securities dealer to customers. The conclusion of the fourth chapter is dedicated to the "Guide for the Beginning Investor", which is compiled based on analysis of the specific obligations of commercial banks to their clients. In the first part of the manual, we explain clearly and easy to understand the basic concepts, with which the beginning investor encounters himself. The second part is devoted particularly with the substantial obligations as imposed by the law on commercial banks in order to provide services in their capacity as a securities dealer. We believe that the elaboration of the manual will not only benefit the commercial banks in providing services in the areas of investment by means of securities, but especially for clients – the future investors.

Abstract:

Práca sa zaoberá témou, aké povinnosti majú komerčné banky vyplývajúce zo zákona č. 566/2001 Z. z. o cenných papieroch a investičných službách v znení neskorších predpisov. Zvolili sme takú systematiku poznatkov, ktoré zjednodušujú pochopenie danej témy. V prvej kapitole poukazujeme na východiskovú situáciu – krátky historický exkurz ako sa vyvíjal finančný trh v Slovenskej republike po roku 1989 v nadväznosti na integračné procesy vedúce k vstupu do Európskej únie/Európskeho spoločenstva. V druhej kapitole sa venujeme postavením komerčnej banky v zmysle platnej legislatívy – bankovým povolením, činnosťami, ktoré komerčná banka môže na základe povolenia vykonávať, ktoré osoby sú oprávnené pracovať v komerčnej banke a sú považované za dôveryhodné a aké sú základné zásady, ktoré komerčná banka musí dodržiavať. V tretej kapitole rozoberáme zákon č. 429/2002 Z. z. o burze cenných papierov v znení neskorších predpisov. Organizovanie regulovaného trhu s cennými papiermi je veľmi významná činnosť a preto si vyžaduje veľkú mieru zodpovednosti, bezchybnosti, profesionality. Zákon je úzko prepojený s témou diplomovej práce a preto poukážeme na niektoré povinnosti, ktoré s týmto zákonom súvisia. Štvrtá kapitola je nosná. Uvádzame v nej dôvody, ktoré viedli k prijatiu zákona č. 566/2001 Z. z. a zámery implementácie. Definujeme subjekty, ktoré vstupujú na peňažný a kapitálový trh a špecifikujeme v akom postavení môže komerčná banka vystupovať ako subjekt povinný plniť si povinnosti. Vzhľadom na rozsah zákona sa v samostatnej podkapitole zameriavame najmä na povinnosti banky v postavení obchodníka s cennými papiermi voči klientom. Záver štvrtej kapitoly patrí „Príručke pre začínajúceho investora“, ktorá je spracovaná na základe analýzy konkrétnych povinností komerčnej banky voči klientom. V prvej časti príručky prehľadne a zrozumiteľne uvádzame vysvetlenie základných pojmov, s ktorými sa začínajúci investor stretne. Druhá časť je venovaná podstatným povinnostiam, ktoré ukladá zákon komerčným bankám pri poskytovaní služieb v postavení obchodníka s cennými papiermi. Veríme, že spracovaná príručka bude prínosom nielen pre komerčné banky pri poskytovaní služieb v oblastí investícií do cenných papierov, ale najmä pre klientov – budúcich investorov.
