Abstract:

Práce pojednává o povinnostech členů statutárních orgánů obchodních korporací s důrazem na povinnost péče řádného hospodáře a odpovědnostní důsledky jejího porušení v rámci rekodifikované právní úpravy, přičemž tuto úpravu v dotčených oblastech srovnává s právní úpravou předchozí. Konkrétně práce postupně analyzuje právní postavení statutárního orgánu, povinnost péče řádného hospodáře a její obsahové složky, pravidlo podnikatelského úsudku a odpovědnost statutárního orgánu vůči obchodní korporaci a jejím věřitelům za porušení péče řádného hospodáře při úpadku obchodní korporace.

Abstract:

The thesis deals with the duties of the members of company’s statutory bodies with an emphasis on the duty due managerial care and liability for a breach of this duty within recodification, while this new legislation in concerned areas compares with the previous legislation. Specifically, the thesis gradually analyzes the legal status of a statutory body, the duty due managerial care and its components, the business judgment rule and liability towards company and towards its creditors for breach of the duty due managerial care during the company’s bankruptcy.
