Směnka v českém právním řádu a její využití při podnikání

Abstract:

Hlavním cílem této bakalářské práce je charakteristika směnky se zaměřením na její zajišťovací funkci a popis jejího postavení v českém právním řádu. Důležitou součástí práce je popis praktického využití směnky v obchodně závazkových vztazích. Hlavní aspekty spočívají v analýze právní úpravy směnečného vztahu, popisu účastníku tohoto vztahu a také zhodnocení výhod a nevýhod, které směnka přináší. Neméně podstatnou částí práce je popsání funkcí, které směnka v obchodně závazkových vztazích plní. Důležitou roli hraje směnka v bankovnictví, proto je této problematice věnována jedna z kapitol. Další část práce obsahuje postup, kterým je možné vymáhat práva ze směnky a jak lze směnku převodem zpeněžit. Náplň této práce tvoří tři druhy výzkumů, které by měly ukázat, jaké je skutečné využití směnky v obchodně závazkových vztazích. Pomocí studia odborné literatury a judikatury soudů bude možné upozornit budoucí účastníky směnečných vztahů na nejčastější chyby, které vznikající při vystavování směnky a které mají za následek její neplatnost. Pomocí uvedení konkrétních příkladů využití směnky účastníky obchodních vztahů a provedením rozhovoru a dotazníkového šetření, je možné seznámit se s reálným využitím směnky. Na základě takto provedeného výzkumu bylo zjištěno, že směnka je v obchodních vztazích často používána. Institut směnky je výhodný spíše pro věřitele, kterému slouží jako nástroj k vymáhání práv. Kvůli směnečné přísnosti může být použití směnky spojeno s mnoha problémy. Účastníci směnečného vztahu by proto měli při vyplňování směnky využít pomoc právního zástupce a vyhnout se tak případným komplikacím.

Abstract:

The main target of this bachelor thesis is characteristic of bill of exchange with the focus on ensuring feature and the description on its position in Czech law system. The important part of this work is the description of practical use of bill of exchange in business relations. Main aspects consist in law adjustment relation analysis of bill of exchange, participant description and valorization of advantages and disadvantages, which brings the bill of exchange. Another important part of work is to describe functions that a bill of exchange brings in business relations. The important part of bill of exchange is in banking system and that is the reason to include it in one of chapters. The next part of the work includes the process of bill of exchange law enforcement and the way how to pay out the bill of exchange. The main part of the work is composed from three types of the research which would show us the actual use of bill of exchange in business relations. By studying the scientific literature and judicature of courts will be possible to warn future participants of business relations of most frequent mistakes which arising with issuing the bill of exchange and which could result in its annulment. Using specific examples of the use of bill of exchange by business relations participants, making an interview and questionnaire survey is possible to get acquainted with the real use of bill of exchange. Based on the research it was found that the bill of exchange is often used in business relations. The bill of exchange institute is appropriate more for creditor who has it as a tool to law enforcement. Due to bill of exchange strictness the use of it could be connected with a lots of problems. Thanks to this, business relations participants should exploit the help of public prosecutor and avoid possible complications.
