Abstract:

Táto práca sa zaoberá problematikou náhrady škody a úrokov z omeškania podľa Dohovoru OSN o zmluvách o medzinárodnej kúpe tovaru z roku 1980. Úvod práce ponúka stručný prehľad dejín náhrady škody a samotného dohovoru. Nasledujúce kapitoly popisujú predpoklady vzniku zodpovednosti za škodu, pamätajú na prípady odstúpenia od zmluvy a zdôrazňujú potrebu zmierniť škodu. Posledná kapitola pojednáva o úrokoch z omeškania. Z dôvodu vágnosti ustanovení tohto dohovoru, autor systematicky prepája názory znalcov práva so súdnou praxou. Pokiaľ sú závery právnych vedcov v rozpore so závermi súdov, autor sa prikláňa na stranu súdnych rozhodnutí, nakoľko považuje právnu istotu a predvídateľnosť za predpoklady úspešného rozvoja medzinárodného obchodu. Preto praktické závery a súdne rozhodnutia sa nenachádzajú až na konci, ale sú systematicky umiestnené v jadre práce tam, kde samotné ustanovenia dohovoru alebo závery učinené v prácach znalcov práva sa ukazujú ako nedostatočné.

Abstract:

The thesis deals with the problem of damages and interest on late payment under the 1980 United Nations Convention on Contracts for the International Sale of Goods . It begins by summarising the history of damages and the Convention. Following chapters describe preconditions of accrual of liability for damage, allow for the case of avoidance and emphasise the need to mitigate the loss. The last chapter deals with interest on late payment. Due to the vagueness of the Convention’s provisions, the author interlinks scholarly writings with practice of the courts. Where commentators’ writings are inconsistent with decisions of courts, the author is inclined to agree with judicial decisions, since he deems reliance and foreseeability to be prerequisites for successful development of international trade. Hence the practical conclusions and court rulings are not found at the end of the thesis, but rather are systematically placed within the paper where the wording of the Convention or conclusions drawn in scholarly writings prove insufficient.
