The duty of due managerial care of members of statutory bodies in capital business companies

Abstract:

V této diplomové práci pojednává autorka o institutu péče řádného hospodáře. Přestože rekodifikace soukromého práva vnáší do této problematiky více světla, jedná se stále o neurčitý právní pojmem, který je vysvětlován jinými neurčitými právními pojmy. Povinnost péče řádného hospodáře je základním nástrojem, který má členy statutárních orgánů motivovat k tomu, aby jednali svědomitě a v nejlepším zájmu společnosti. Pokud tento standard chování poruší, nesou neomezenou odpovědnost za škodu způsobenou jejich jednáním. Zákonodárce si je plně vědom toho, že riskování je typickou charakteristikou podnikání a že podnikatelská rozhodnutí jsou obvykle přijímána v podmínkách nejistoty. Z tohoto důvodu nabízí „bezpečný přístav“ v podobě pravidla podnikatelského úsudku pro ty, kteří jednají loajálně, informovaně a v obhajitelném zájmu společnosti. Cílem této diplomové práce je ukázat hranici mezi jednáním zakládající odpovědnost a jednáním, které odpovědnost za porušení péče řádného hospodáře nezakládá.

Abstract:

In this diploma thesis, the author discusses the institute of the duty of due managerial care. Although private law recodification has brought many clarifications, this institute remains vague legal concept that is explained by other vague legal concepts. The duty of due managerial care is a core instrument to incentivise members of statutory bodies to act diligently and in the best interest of the company. If they violate this standard of behaviour, they are unlimitedly liable for the damage caused by their actions. The legislator is fully aware that risk-taking is a typical characteristic for entrepreneurship and that business decisions are usually made under conditions of uncertainty. For that reason, he offers a safe harbour in the form of business judgment rule for those who act loyally, informed and in justifiable interest of the company. The aim of this diploma thesis is to show the boundary between action that establish liability for breach of the duty of due managerial care and action that do not.
