The Minority Laws in Capital Corporations

Abstract:

Cílem mé diplomové práce bylo objasnit minoritní práva v kapitálových společnostech a to především ve společnosti akciové. Jelikož se jedná o poměrně rozsáhlé téma, ke kterému bylo vydáno opravdu značné množství odborných publikací a odborných statí v právních časopisech, uvádím na mnoha místech odkazy na jejich autory, pro ještě hlubší obeznámení se s problematikou. Práci jsem po úvodních výkladech zaměřil především na institut squeeze-out, kde se existence minoritních práv nejvíce zohledňuje a projevuje. Tento institut označující vytlačení menšinových společníků ze společnosti, je běžnou součástí moderních právních řádů v Evropě. Zahraniční právní úprava samozřejmě v mé práci nezůstala opomenuta a věnuji ji samostatnou kapitolu.

Abstract:

The aim of this thesis was to clarify the rights of minority capital companies, especially in the company stock. Since this is a fairly broad topic, has been issued for a very considerable number of professional publications and papers in legal journals, I present at many sites link to their authors for more acquaintance with the deeper issues. I have decided to focus primarily on just joint-stock company and if the topic work after the initial interpretations focused primarily on the Institute of squeeze-outs, where the existence of minority rights and takes into account the most. This institute indicating displacement of minority shareholders of the company, is a normal part of modern legal systems in Europe. Foreign legislation of my work did not remain ignored, and I dedicate it to a separate chapter.
