Legal status and liability of the executive director and the partners of the limited liability company

Abstract:

Diplomová práce se zabývá zhodnocením právního postavení jednatele a společníků v souvislosti s jejich odpovědností v rámci společnosti s ručením omezeným. Práce je rozdělena do šesti kapitol. První kapitola je věnována charakteristice společnosti s ručením omezeným. Druhá kapitola se zabývá právním postavením společníků, včetně vymezení jejich práv a povinností a jednotlivých případů a podmínek ručení. Třetí kapitola práce je zaměřena na jednatele společnosti s ručením omezeným - jeho právní postavení a právní následky porušení jeho povinností. Čtvrtá kapitola se zabývá komparací právních postavení společníka a jednatele. Pátá kapitola je dále zaměřena na problematiku trestní odpovědnosti právnických osob a jednatele. Obsahem poslední šesté kapitoly je uvedení specifik u jednočlenné společnosti s ručením omezeným.

Abstract:

The diploma thesis deals with the evaluation of the legal status of the executive director and the partners in connection with their liability within the limited liability company. The thesis is divided into six chapters. The first chapter is devoted to the characteristics of a limited liability company. The second chapter deals with the legal status of the partners, including the definition of their rights and obligations, and the individual cases and conditions of liability. The third chapter is focused on the executive director of a limited liability company - his legal status and legal consequences of breach of his obligations. The fourth chapter deals with the comparison of the legal status of the partner and the executive director. The fifth chapter is focused on the issue of criminal liability of legal entities and executive director. The content of the last sixth chapter is devoted to the specifics of a single-member limited liability company.
