Descriptive analysis of transformations carried out in the Czech Republic

Abstract:

Tato diplomová práce se zabývá přeměnami společností uskutečněnými v České republice v roce 2021. Teoretická část práce je věnována jednotlivým prvkům procesu realizace přeměn obchodních korporací z pohledu české legislativy. Cílem praktické části práce je na základě analýzy shromážděných dat podat souhrnný přehled o zvolených postupech a specifických prvcích realizace přeměn, a u vybraných transakcí zjistit, zda nedošlo k realizaci přeměny s cílem zneužít právo a dosáhnout tak daňového zvýhodnění. Výsledky analýzy potvrzují základní trendy realizace tuzemských přeměn. Analýza specifických transakcí nezjistila žádný případ zneužití daňového práva, nicméně odhalila některé situace, kdy zveřejněná rozvaha neposkytovala věrný a poctivý obraz předmětu účetnictví a finanční situace v souladu se zásadami vedení účetnictví.

Abstract:

This thesis focuses on transformations of companies that occurred in the Czech Republic in 2021. The theoretical part of the thesis is devoted to the individual elements of the process of transformations from the perspective of Czech legislation. Based on the analysis of the data collected, the practical part of the thesis aims to provide a summary overview of the selected procedures and specific elements of the process of transformations and to determine whether the chosen transformations were undertaken with the intention of abusing the law to achieve tax benefits. The results of the analysis confirm the basic trends in the process of domestic transformations. The analysis of specific transformations did not identify any cases of abuse of tax law but did reveal some situations where the published balance sheet did not give a true and fair view of the accounts and the financial position of the company.
