Stock Options Plans

Abstract:

The thesis is focused on the executive remuneration in the form of stock option plans. The first part contains a brief walk-trough of the most frequently used compensation instruments, assessing their real effectiveness in lowering the agency costs and incentivizing higher performance of executives. The thesis then provides a detailed analysis of the legal regulation and application limits of stock option plans in Czech Republic (beginning with the shareholder aprobation of stock plans followed by the issue of transferability of option rights, controversial topic of option repricing and the exercise of stock options, mainly focused on the challenges in preventing the insider trading and market manipulations linked to it). The last part of the thesis is dedicated to an analysis of stock options plan of state-controlled energy corporation CEZ, examining the suitability and morality of the usage of this institute in state-controlled corporations. The conclusion briefly summarizes and assesses the main standpoints of the thesis.

Abstract:

Práca sa venuje problematike odmeňovania členov štatutárnych orgánov akciových spoločností prostredníctvom opčných akciových programov. Prvá časť práce poskytuje stručný prehľad odmeňovacích nástrojov pre členov štatutárnych orgánov spolu s hodnotením ich efektivity pri plnení kompenzačnej a motivačnej funkcie. Ďalej sú v práci predstavené teoretické východiská, ako aj praktické možnosti využitia opčných akciových programov. Analýza aktuálnej právnej regulácie tohto inštitútu je rozdelená podľa jednotlivých etáp právneho života opčných akciových programov (od ich aprobácie akcionármi, cez ev. precenenie opcií,až po samotnú realizáciu opčných práv a napĺňanie požiadaviek na ochranu vnútorných informácií s tým spojenú). Záverečná časť práce je venovaná analýze podmienok opčného akciového programu spoločnosti ČEZ. Záver práce stručne zhŕňa poznatky z jednotlivých kapitol.
