The Supervisory Board of a Joint Stock Company
Abstract:
Diplomová práce se zabývá dozorčí radou akciové společnosti, její charakteristikou a právní úpravou. Snaží se poskytnout detailní pohled na problematiku zahrnující analýzu působnosti rady, vzniku a zánik funkce jejích členů, rozhodování, práv a povinností členů a také jejich odpovědnosti. V závěrečné části práce je pak zařazena podkapitola zabývající se problémy aplikace české právní úpravy.
Abstract:
The thesis deals with the Supervisory Board of a Joint Stock Company, its characteristics and legal regulation. It tries to provide a broad coverage of the topic including detailed analysis of the board’s powers, conditions for establishing and terminating membership, the decision-making process, rights and duties of the members and their responsibility.
