Blank Bill in the Czech Law and in the Law of German-speaking Countries

Abstract:

Předkládaná práce se zabývá námitkovým postavením dlužníka z blankosměnky v českém právu s přihlédnutím k německému, rakouskému a švýcarskému právu. Na rozdíl od směnky, jejíž text vytváří sám výstavce směnky, tvoří výstavce blankosměnky pouze část směnečného textu. K doplnění blankolistiny o další náležitosti, které ZSŠ vyžaduje ke vzniku formálně platné směnky, je oprávněn na základě směnečného vyplňovacího práva věřitel. Text směnky, která byla vystavena jako blankosměnka, tedy vzniká na etapy a podílí se na něm postupně jak výstavce, tak věřitel. Tím se postavení dlužníka z blankosměnky liší od postavení dlužníka ze směnky, která byla vydána jako úplná směnka. Práce si klade za cíl analyzovat, jaké námitky má dlužník z blankosměnky k dispozici, za jakých podmínek je může uplatňovat a jak se do jeho námitkového postavení promítá povaha směnečného vyplňovacího práva.

Abstract:

The presented thesis deals with objections available to the debtor from blank bill of exchange in Czech law with consideration of German, Austrian and Swiss law. In contrast with a bill of exchange, which is created by the drawer of this bill, the drawer of the blank bill of exchange is creating only a part of its text. The creditor is the one entitled to complete the blank bill of exchange with all the elements required by the Act of Bills of Exchange and Cheques in order to create a valid bill of exchange. The text of the originally blank bill of exchange is therefore created in phases by both the drawer and the creditor. This creates the main difference between the position of the debtor in case of the blank bill of exchange and the position of the debtor in case of a bill of exchange which was issued as complete. This thesis aims to analyze the objections available to the debtor of the blank bill of exchange, the conditions for applying these objections and how are his objections affected by the right to complete a blank bill of exchange.
