Posting Right in a Joint Stock Company

Abstract:

Tato práce se zabývá vysílacím právem v akciové společnosti, které je inkorporováno do akcií s vysílacím právem. Jedná se o zvláštní druh akcií, který byl výslovně připuštěn novelou zákona o obchodních korporacích č. 33/2020 Sb. s účinností od 1.7.2021. Práce uvádí možné alternativy vysílacího práva, rozbor české právní úpravy a její srovnání s obdobným institutem z německého a rakouského práva (Entsendungsrecht). Závěrem se práce věnuje možným úskalím vysílacího práva v České republice a návrhu vzorových znění stanov v souladu s teoretickými úvahami o stanovách předestřených v samotné práci.

Abstract:

This thesis deals with the posting right in a joint stock company, which is incorporated into shares with posting rights. It is a special type of shares, which was explicitly admitted by the amendment to the Commercial Corporations Act No. 33/2020 Coll. with effect from 1 July 2021. The thesis presents possible alternatives to the posting right, an analysis of the Czech legislation and its comparison with a similar institute from German and Austrian law (Entsendungsrecht). Finally, the thesis deals with possible pitfalls of the posting right in the Czech Republic and the proposal of model wording of the statutes in accordance with the theoretical considerations on the statutes presented in the thesis itself.
