Abstract:

Tato práce se zabývá problematikou fúze. V teoretické části práce je definována problematika uskutečnění přeměny společnosti dle platné české legislativy včetně nadnárodní úpravy. Charakterizuji nejen obecné vymezení možností přeměn, které česká legislativa v praxi umožňuje, ale i specifické upřesnění týkající se přeměn fúze se zaměřením na vnitrostátní fúzi sloučením. Po vydefinování základních pojmů, zde nalezneme i přiblížení problematiky daní, motivů fúze a vyhodnocení fúze. V praktické části práce jsou teoretické poznatky převedeny do praxe a aplikovány na konkrétní projekt vnitrostátní fúze sloučením. Je zde provedeno vyhodnocení fúze nejen z hlediska ekonomických ukazatelů, ale též z hlediska motivů fúze, které společnost vedly k tomuto zásadnímu kroku. Závěrem práce je tedy konkrétní vyhodnocení projektu fúze dvou společností a zhodnocení rozhodnutí, zda bylo přínosné či nikoli.

Abstract:

This thesis deals with the topic of merger. The theoretical part defines the issue of company conversion according to the current Czech legislation, including transnational arrangements. The thesis characterizes not only the general definition of transformation options allowed in practice by the Czech legislation, but also specific clarifications concerning the merger transformation with a focus on domestic mergers by acquisition. After defining the basic terms, the thesis also approaches the issue of taxes, merger themes and merger evaluation. In the practical part the theoretical knowledge is put into practice and applied to a particular case of national merger by absorption. An evaluation of the merger is carried out both in terms of economic indicators, but also in terms of the motives of the merger, which led the company to this crucial step. The thesis concludes with an evaluation of one specific merger project between two companies and an assessment of deciding whether it was beneficial or not.
