Contractual penalty

Abstract:

Smluvní pokuta je typickým institutem, který je využíván k utvrzení dluhu. Bakalářská práce bude definovat základní rysy smluvní pokuty, postupně přiblíží její zákonnou právní úpravu a také se interpretuje základní předpoklady práva na smluvní pokutu. Následně se bude věnovat problematice týkající se výše smluvní pokuty a její případné nepřiměřenosti. Ke konci práce dojde k zohlednění dispozitivnosti smluvní pokuty a budou zde také uvedena konkrétní odchylná ujednání. V závěru dojde k porovnání smluvní pokuty v odlišných právních řádech a následně bude smluvní pokuta porovnána s obdobným institutem v angloamerickém právu.

Abstract:

The contractual penalty is a typical institute used to consolidate a debt. The bachelor thesis will define the basic features of contractual penalty, gradually approach its legal regulation and also interpret the basic assumptions of the right to contractual penalty. Subsequently, it will address the issue of the amount of the contractual penalty and its possible unreasonableness. Towards the end of the thesis, the disposability of contractual penalty will be taken into account and specific derogatory provisions will also be presented. It will conclude with a comparison of contractual penalties in different jurisdictions and then compare the contractual penalty with a similar institution in Anglo-American law.
