Czech legislation of trust funds de lege ferenda

Abstract:

Tématem bakalářské práce je rozbor právní úpravy svěřenského fondu de lege lata a nabídnutí možných úprav pro případnou novelizaci. Cílem bylo identifikovat a analyzovat problematické otázky současné právní úpravy a zároveň najít odpověď na otázku, zda lze institut svěřenského fondu legálně zneužít pro ukrytí majetku před věřiteli nebo dohledem veřejnoprávních institucí. V první části se práce zaměřuje na obecné vymezení institutu svěřenství, jeho historický vývoj a srovnání s jinými evropskými jurisdikcemi. Stěžejní část se věnuje analýze současné právní úpravy v České republice. Pozornost je věnována mimo jiné (ne)anonymitě svěřenských fondů, jejich zdanění, možnosti odklonění majetku nebo zneužití svěřenského fondu z hlediska zákona o střetu zájmů. Postupným skládáním mozaiky je utvářen obraz svěřenského fondu jako celku. Po cestě jsou vytyčovány jednotlivé problematické jevy, ke kterým rovnou autor nabízí možná řešení. Závěrem práce autor odhaluje pozitivní zjištění, že svěřenský fond nelze použít jako legální nástroj pro účelové ukrývání majetku nebo vyhýbání se daňovým povinnostem. Finálním souhrnem v osmi bodech ale identifikuje závažné a méně závažné právní vady a předkládá je k další diskuzi.

Abstract:

The topic of the bachelor's thesis is an analysis of the legal regulation of the trust fund de lege lata and offering potential adjustments for possible amendment. The aim was to identify and analyze the problematic issues of the current legislation and at the same time find an answer to the question of whether the trust fund institute can be legally abused to hide assets from creditors or the supervision of public institutions. In the first part, the thesis focuses on the general definition of the trust institute, its historical development and comparison with other European jurisdictions. The core part is devoted to the analysis of the current legislation in the Czech Republic. Attention is paid, among other things, to the (non)anonymity of trust funds, their taxation, the possibility of asset diversion or misuse of the trust fund from the point of view of the Conflict of Interest Act. By gradually assembling the mosaic, the image of the trust fund as a whole is formed. Along the way, individual problematic phenomena are outlined, to which the author immediately offers possible solutions. At the conclusion of the work, the author reveals a positive finding that the trust fund cannot be used as a legal tool for purposefully hiding assets or avoiding tax obligations. In a final summary in eight points, however, he identifies serious and less serious legal defects and submits them for further discussion.
