The Comparison of the Legislation of Companies in the Continental and the Anglo-American Legal system

Abstract:

Bakalářská práce se zabývá komparací obchodních společností v kontinentálním a angloamerickém právním systému. Práce v první části popisuje obchodní společnosti v zemích kontinentálního právního systému. Jsou zde podrobněji popsány formy konkrétních typů společností, na které pak navazuje souhrn nejznámějších forem obchodních společností – veřejná obchodní společnost, komanditní společnost, akciová společnost a společnost s ručením omezeným. V části věnované zemím angloamerického právního systému je obsah koncipován podobně jako v části o kontinentálních zemích a jejich formách společností. Ke konci práce stojí zmínka o smíšených státech, tedy státech míšených mezi angloamerickým a kontinentálním právním systémem. V poslední části práce jsou popsány shody a rozdíly mezi oběma právními systémy pomocí komparativní analýzy.

Abstract:

The bachelor thesis focuses to the comparation of companies in the Continenental and Anglo-american legal system. In the first major part the thesis describes companies in countries of the continental legal system. The forms of specific types of companies are described in more detail and followed by a summary of the most well-known forms of companies – a public company, a limited partnership, a joint stock company (public limited company) and a limited liability company (private limited company). In the part devoted to the countries of the Anglo-American legal system, the content is conceived similarly to the part about Continental countries and their forms of companies. In the second half of the work, there is a mention of mixed states, ie states that are mixed between the Anglo-American and Continental legal systems. The last part of the thesis describes the similarities and differences of both legal system using a comparative analysis.
