The authorities of trading companies

Abstract:

In the individual chapters the bachelor thesis is trying to clarify the characteristics of the organs of business companies and their members, who are active in Slovak market in terms of Slovak legislation, from the point of view of their rights and authority, in vertical structure. The first chapter focuses on the legal regulation of different types of companies, their basic characteristics, and characteristics of the organs of the companies, specification of rights and obligations of the organs of the companies and their members. The second chapter brings attention to the responsibility of the organs of the business companies from the social, civil law and criminal law point of view. The third chapter focuses on the comparison of the rights and obligations of the organs of partnership companies and the rights and obligations of the organs of holding companies.

Abstract:

Bakalárska práca sa snaží v jednotlivých častiach v prierezovej štruktúre ozrejmiť charakteristiku orgánov obchodných spoločností a členov týchto orgánov, pôsobiacich na Slovenskom trhu v zmysle Slovenskej legislatívy, z pohľadu ich práv a povinností. Prvá kapitola je zameraná na právnu úpravu jednotlivých typov spoločností, ich základnú charakteristiku, charakteristiku orgánov spoločností, špecifikáciu práv a povinností orgánov spoločností a členov orgánov spoločností. Druhá kapitola poukazuje na zodpovednosť orgánov obchodných spoločností zo sociálneho, súkromnoprávneho a trestnoprávneho aspektu. Tretia kapitola je zameraná na komparáciu práv a povinností orgánov osobných obchodných spoločností a práv a povinností orgánov kapitálových obchodných spoločností.
