Abstract:

Tématem diplomové práce je ochrana věřitelů a minoritních akcionářů při fúzi akciových společností. Práce poskytuje kritickou analýzu institutů ochrany věřitelů a minoritních akcionářů při fúzi, dle zákona č. 125/2008 Sb., o přeměnách obchodních společností a družstev, a poukazuje na konkrétní nedostatky této právní úpravy. Práce dále analyzuje vztahy mezi věřiteli a minoritními akcionáři z hlediska konkurence jejich zájmů, protože poskytnutí ochranářských práv jednomu subjektu má za následek zhoršení postavení druhého subjektu a vice versa.

Abstract:

The theme of the thesis is protection of creditors and minority shareholders during mergers and consolidations of joint stock companies. The thesis provides critical analysis of legal institutions providing security of creditors and minority shareholders during mergers and consolidations, under the Act no. 125/2008 Sb., the Act on conversion of business companies and cooperatives, and indicates specific defects of the legal institutions. Furthermore, thesis analysis relationships between creditors and minority shareholders, from the perspective of their interests due to the fact, that providing too much rights to one subject, places rights of the other subject at risk and vice versa. .
