Commercial Secret by the Comercial Code and in the Practice of the Courts

Abstract:

Předmětem této práce je rozbor obchodního tajemství a s ním spojených klíčových problematik. Práce obsahuje, kromě rozboru obchodního tajemství samotného, jeho znaků a spojených otázek, také výklad základních pojmů. Těmito jsou podnik, podnikatel a generální klauzule nekalé soutěže. Nutnost zabývat se pojmem podnik plyne z ustanovení §17 ObZ , obchodní tajemství je hodnotou náležející k podniku, tato náležitost je jedním ze znaků, a je tedy dobré mít představu, co tento pojem obsahuje. Podnikatel je osobou výlučně oprávněnou nakládat s obchodním tajemstvím a často bude určujícím pro výklad podniku. Nekalá soutěž pak plní nemalou úlohu při ochraně obchodního tajemství Předmětem této práce jsou i formy poskytované ochrany a také některé základní prostředky, kterými lze zjednat nápravu, dojde-li k zásahu do obchodního tajemství. Hned v tomto úvodu bych si dovolil čtenáře upozornit na skutečnost, že tato ochrana je dvojí – absolutní a relativní. Rovněž jsou uvedeny prostředky ochrany poskytované mimo obchodní zákoník. Při zpracování této práce, jsem se pokoušel těžit hlavně z judikatury. Názory a výklady odborníků tím nechci snižovat, naopak jejich názory velmi často soudy přejímají, ale tyto nejsou pro soudy nikterak závazné, až do okamžiku, kdy jsou použity v rozhodovací praxi. Ani poté sice nejsou tyto názory a definice obecně považovány za závazné, neboli formální pramen práva, nicméně se jedná o materiální (sekundární) pramen práva a nelze mu tak upřít jistou dávku závaznosti.

Abstract:

This diploma is divied into five main chapters. First chapter is focused on history of studied theme, with intention to find out how is present legislation similar to the past one. I´ve found out that there are some similarities, but former legal regulations mainly served only as inspiration and to learn and to avoid mistakes made in past. Second chapter contains key definitions, namely businessman, enterprise and unfair competition. Reasons why these are included are following. Businessman is almost always the only one who can bring an action. Also he can dispose the commercial secret. There are some exceptions and these are analyzed in the chapters. Enterprise is the body to which commercial secret is bound. Unfair competition and its signs play a key role in situations when a person different from businessman wants to bring an action and when commercial secret is lacking even one character required by law. Third chapter is about commercial secret itself. Legal definition of commercial secret may be translated as follows: Subject of the rights belonging to the enterprise is a commercial secret. Commercial secrets are all facts of business, manufacturing or technical nature relating to the enterprise, which has actual or even potential material or immaterial value, are not in the business circles ordinarily available, and are being kept as secret according to the will of businessman and businessman adequately ensure the confidentiality. Fourth chapter is dedicated to means of protection. There is absolute and relative protection. Absolute belongs only to businessman and is provided against any other person that violates or threatens his commercial secret. Relative protection is given to person whose rights have been violated or threatened. This chapter also contains means that can be used for protection or remedy. These are same for absolute and relative protection. Petitioner can claim against the violator to refrain from this and removed the unlawful state. They may also claim reasonable satisfaction which may be granted even in cash, damages and issue unjust enrichment. Fifth chapter is contains some thoughts de lege ferenda. Czech private law stands before complete novelization. Commercial code will be canceled and commercial secret will be moved from commercial code to civil code, and will be newly defined.
