Business combinations in the Czech Republic

Abstract:

Předmětem diplomové práce „Podnikové kombinace v ČR“ je analýza právních, účetních a daňových aspektů podnikových kombinací v České republice. V práci jsou použity právní normy ČR platné k 1.1.2019. První část se zabývá kapitálovou akvizicí, prodejem, vkladem a pachtem obchodního závodu. Druhá část práce je zaměřená na přeměny obchodních korporací, tj. fúze, rozdělení, změna právní formy a převod jmění na společníka. Na závěr je provedeno srovnání jednotlivých druhů podnikových kombinací.

Abstract:

The subject of the thesis "The business combinations in the Czech Republic", is the analysis of the legal, accounting and tax aspects of the business combinations in the Czech Republic. In the thesis, there are applied legal norms of the Czech Republic valid as of 1.1.2019. The first part is focused on the capital acquisition, sale, deposit and tenure of the business. The second part of the thesis is focused on the transformations of the business corporations, i.e., merger, division, change of the legal form and asset transfer. At the end, there is a comparison of the particular types of the business combinations.
