Responsibility of Transnational Corporations and Other Business Enterprises in International Law

Abstract:

Práce se zabívá otázkou možné mezinárodněprávní odpovědnosti nadnárodních společností. K základním cílům práce patří podat kritický rozbor postavení nadnárodních společností v mezinárodním právu veřejném, analyzovat možnost jejich odpovědnosti podle norem mezinárodního práva a podle vnitrostátního práva USA a shrnout aktuální vývoj v otázce možnosti přímé odpovědnost nadnárodních společností především ve vztahu k problematice lidských práv. Otázka mezinárodněprávní odpovědnosti nadnárodních společností a vůbec jejich postavení v rámci mezinárodního práva je velmi komplexním, rozmanitým a složitým problémem, který lze zkoumat hned v několika různých rovinách. V české odborné literatuře nebyla problematice, jež je předmětem této práce, dosud věnována zásadní pozornost. V zahraniční literatuře je sice otázka odpovědnosti nadnárodních společností podle mezinárodního práva rozebrána podrobněji, přesto však je debata o postavení společností v mezinárodním právu a jejich odpovědnosti teprve v počátcích. I proto by následující práce měla být chápána především jako obecné uvedení do problematiky a pokus o podání odpovědí pouze na některé z klíčových otázek, které jsou s předmětem práce spojeny.

Abstract:

We have witnessed increasing number of transnational corporations (TNCs) in recent decades. They concentrate huge amounts of asset and hold enormous political and economical power. TNCs have evidently profited from the process of globalization since 1970s. They have became powerful actors of international system and can compete with developed states in terms of their assets and powers. Bearing in mind that international law and international system are mutually linked phenomenos the author tries to examine the question whether international law reflects changes of international system and whether it is possible to conclude that TNCs are subjects of international law. With power comes responsibility. The main topic of the diploma thesis is the issue of responsibility of TNCs under international law. Are TNCs able to violate international law? Do they bear responsibility for this violations? These are the key questions the author attempt to answer. Structure of the diploma thesis follows basic three hypothesis: a) TNCs don’t have the statute of subjects of international law, but despite that we can find some partial elements of this international legal personality; b) TNCs are not responsible according to current international law norms; c) in the last decade we can notice increasing trends towards implementing direct responsibility of TNCs for violations of international law. Last chapter of the diploma thesis discours the responsibility of TNCs according to national law of the USA, primarily per the Alien Tort Claims Act which enables US federal courts to regard, in particular cases, whether TNCs have breached jus cogens of international law or not.
