The establishment of a limited liability company

Abstract:

Bakalářská práce se věnuje problematice vzniklé nové právní úpravy pro společnosti s ručením omezeným. V teoretické části se zabývám právní úpravou společnosti s ručením omezeným, jaké má společnost možnosti rozhodnutí v otázkách příchodu nové právní úpravy a důsledky, které plynou z jejího rozhodnutí. Dále se zabývám povinným náležitostem, které společnost musí obsahovat při založení od 1. 1. 2014 – nabytí účinnosti nové právní úpravy, a úpravou společenské smlouvy. V praktické části se zabývám Společenskou smlouvou společnosti Hanácká kyselka, s.r.o. v původním znění za účinnosti starého obchodního zákoníku. Dále novou upravenou společenskou smlouvou respektive zakladatelskou listinou téže společnosti, která byla nucena s příchodem nové právní úpravy svou zakladatelskou listinu upravit. Závěrem na základě získaných informací, vše vyhodnotím a následně provedu komparaci mezi těmito dokumenty.

Abstract:

The bachelor thesis deals with problems arising from the new legislation on limited liability companies. The theoretical part deals with legislation limited liability company, which the company has the possibility of decisions on the arrival of the new legislation and the consequences that arise from its decision. I also deal with the mandatory formalities, the company must include in the establishment of 1.1.2014 - the entry into force of the new legislation, and by adjusting the social contract. The practical part deals with the MOA company Hanacka kyselka Ltd. in its original version for the efficiency of the old Commercial Code. Furthermore, the new revised social contract or Deed same company, which was forced with the advent of new legislation to modify its founding charter. Finally, based on the information obtained, I will evaluate everything and then I make a comparison between these documents.
