The Acquisition of the Business Enterprise Ownership

Abstract:

Rekodifikace soukromého práva v ČR zavedla několik podstatných změn v oblasti převodu vlastnického práva k obchodního závodu. Jedním z cílů této úpravy bylo umožnit nabytí vlastnického práva „uno actu“, tj. možnost nabytí vlastnického práva k obchodnímu závodu jako celku v jednom okamžiku. Tato bakalářská práce zkoumá zákonné řešení převodu vlastnického práva k závodu a specifické problémy, které s tímto právním aktem souvisí. V první části práce je vysvětlen pojem obchodní závod a jeho vnitřní členění. Druhá část práce zkoumá samotný okamžik nabytí vlastnického práva k obchodnímu závodu. Řešení této problematiky vyvolalo odbornou polemiku o dispozitivnosti příslušného ustanovení, o konstitutivní či deklaratorní povaze vkladu vlastnického práva k nemovitostem závodu do katastru nemovitostí, o definici pojmu část závodu. Pozornost je věnována i problematice vkladu obchodního závodu (nebo jeho části) do obchodní korporace a nutnosti souhlasu valné hromady s touto dispozicí. Práce rozebírá názory odborné veřejnosti i zákonné řešení problematiky. V závěru práce je uvedeno zhodnocení přínosu zákona č. 89/2012 Sb., občanský zákoník.

Abstract:

The recodification of private law in the Czech Republic introduced several significant changes in the area of the transfer of ownership to a commercial plant. One of the objectives of this regulation was to enable the acquisition of ownership of the uno actu, i.e. the possibility of acquiring ownership of the business plant as a whole at one time. This bachelor thesis examines the legal solution of the transfer of ownership to the plant and the specific problems associated with this legal act. The first part of the thesis explains the concept of a business plant and its internal division. The second part ofthis thesis examines the very moment of acquiring ownership of a business plant. This issue's solution provoked an expert controversy about the dispositivity of the relevant provision, about the constitutive or declaratory nature of the contribution of ownership of the plant's property to the property cadastre, about the definition of the term ‘the part of the plant’. Attention is also paid to the issue of the contribution of the business plant (or its part) to the business corporation and the need for the approval of the General Meeting with this disposition. This paper analyses the opinions of the professional public and the legal solution to the problem. At the end of the work is an evaluation of the benefits of Act No. 89/2012 Coll., Civil Code.
